1. Definitions
“Consultancy” refers to thepeopleprotectors, a company registered in England and Wales.
“Client” refers to any individual, partnership, company, or organisation that engages the Consultancy for services.
“Services” refers to the health and safety consultancy services provided by the Consultancy, as detailed in the agreed quotation or contract.
“Quotation” refers to the written document detailing the scope of Services, fees, and estimated timelines.
“Contract” refers to the legally binding agreement between the Consultancy and the Client, incorporating these Terms and Conditions and the agreed Quotation.
“Working Day” refers to any day other than a Saturday, Sunday, or public holiday in England and Wales.
“Intellectual Property Rights” means patents, rights to inventions, copyright and related rights, moral rights, trade marks, trade names and domain names, rights in get-up, rights in goodwill or to sue for passing off, rights in designs, rights in computer software, database rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (or rights to apply) for, and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection which may now or in the future subsist in any part of the world.
2. Scope of Services
- The Consultancy will provide the Services as detailed in the agreed Quotation or Contract.
- The Consultancy will perform the Services with reasonable skill and care, in accordance with generally accepted professional standards in the UK.
- The Consultancy will comply with all relevant UK health and safety legislation and regulations.
3. Client Obligations
- The Client will provide the Consultancy with all necessary information, access, and cooperation to enable the Consultancy to perform the Services.
- The Client will ensure that all information provided to the Consultancy is accurate and complete.
- The Client is responsible for implementing the recommendations provided by the Consultancy.
- The Client will obtain all necessary consents and permissions required for the Consultancy to perform the Services.
4. Fees and Payment
Fees for the Services will be as stated in the agreed Quotation or Contract.
- New Clients: All new clients, defined as those engaging the Consultancy for their first project, will be required to make payment in full upfront, prior to the commencement of the services.
- Existing Clients: Existing clients, defined as those who have completed more than one project with the Consultancy, will be granted 30-day payment terms from the date of invoice.
Invoices are payable within the agreed terms.
Late payments may incur interest at a rate of 8% per annum above the Bank of England base rate, pursuant to the Late Payment of Commercial Debts (Interest) Act 1998, as amended.
The Consultancy reserves the right to suspend or terminate the Services in the event of late payment.
All fees quoted are exclusive of VAT, which will be added at the prevailing rate.
5. Cancellation and Termination
Either party may terminate the Contract by giving written notice to the other party in the event of a material breach of the Contract by the other party.
- Approved Quotation Cancellation: Once a quotation has been approved, the client is subject to a 7 calendar day cancellation period. If the client cancels the agreed quote within those 7 days, they may be subject to a cancelation fee, covering time already spent, and any expenses already incurred.
The Consultancy may terminate the Contract immediately in the event of the Client’s insolvency or bankruptcy.
Upon termination, the Client will pay the Consultancy for all Services performed up to the date of termination.
6. Intellectual Property Rights
The Consultancy retains all Intellectual Property Rights in any materials created or provided as part of the Services.
The Client is granted a non-exclusive, non-transferable license to use the materials for their internal business purposes.
The Client will not reproduce, distribute, or modify the materials without the Consultancy’s written consent.
7. Confidentiality
Both parties agree to keep confidential all information disclosed by the other party in connection with the Contract.
This obligation of confidentiality will survive the termination of the Contract.
This clause will not apply to information that is already in the public domain.
8. Liability
The Consultancy’s liability for any loss or damage arising from the Services will be limited to the fees paid by the Client for the Services.
The Consultancy will not be liable for any indirect or consequential loss or damage.
Nothing in these Terms and Conditions will exclude or limit the Consultancy’s liability for death or personal injury caused by its negligence, or for fraud or fraudulent misrepresentation.
The Consultancy holds professional indemnity insurance appropriate to its business activities.
9. Data Protection
The Consultancy will comply with the UK General Data Protection Regulation (GDPR) and the Data Protection Act 2018 in relation to any personal data processed in connection with the Contract.
The Consultancy’s privacy policy, available on its website, details how personal data is collected, used, and stored.
10. Force Majeure
Neither party will be liable for any failure or delay in performing its obligations under the Contract due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, and natural disasters.
11. Governing Law and Jurisdiction
These Terms and Conditions and the Contract will be governed by and construed in accordance with the laws of England and Wales.
Any disputes arising from these Terms and Conditions or the Contract will be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Entire Agreement
These Terms and Conditions and the agreed Quotation or Contract constitute the entire agreement between the parties and supersede all prior agreements and understandings.
13. Amendments
These Terms and Conditions may be amended by the Consultancy from time to time by providing written notice to the Client.
